1. SERVICES AND "SHIELDED" WARRANTY

Lume Clean Solutions (hereinafter "Lume") provides high-level cleaning and disinfection services. Our "Shielded Environment" warranty refers to the application of professional protocols and strict personnel verification. This warranty does not constitute absolute medical sterilization. Lume reserves the right to refuse services in areas that represent a previously undeclared biological or safety risk.

2. LOGISTICS, ACCESS, AND AUTONOMY

Mandatory Access: The client must guarantee full access during the agreed-upon schedule. If Lume personnel cannot enter after a 15-minute wait, a waiting fee of $75/hour will apply. If access is impossible, 100% of the service fee will be charged.

Supplies: Lume exclusively uses professional-grade chemicals and equipment. If the client requires the use of their own products, they assume all responsibility for surface damage or deficient results, releasing Lume from any and all claims.

3. INSURANCE AND CLAIMS (24-HOUR WINDOW)

Lume Clean Solutions is fully bonded and insured.

Notification: Any claim for damage or loss must be reported in writing within a maximum of 24 hours after the completion of the service. After this period, the client waives any right to a claim.

High-Value Items: Objects with a value exceeding $5,000 (art, jewelry, technology) must be declared and secured/safeguarded by the client before the service begins.

4. LIMITATION OF LIABILITY (THE SHIELD)

Under no circumstances shall Lume's total liability to the client (whether in contract, negligence, or tort) exceed the total amount paid for the specific service that gave rise to the claim. Lume shall not be liable for indirect, incidental, punitive, consequential damages, loss of profits, or loss of business productivity.

5. TALENT PROTECTION (NON-SOLICITATION)

The client is strictly prohibited from soliciting, hiring, or employing (directly or indirectly) any member of Lume's staff during the term of the contract and for 24 months after its termination. Breach of this clause shall result in an immediate penalty of $5,000 for recruitment and training costs.

6. CANCELLATIONS AND RESCHEDULING

More than 48 hours notice: No penalty.

Less than 48 hours notice: Fee of 50% of the service value.

Same day / No-Show: Fee of 100% of the service value.

7. PAYMENTS, LATE FEES, AND COLLECTION COSTS

Payments are due upon receipt of the invoice. Payments more than 5 days late will incur a 1.5% monthly interest charge.

Legal Costs: In the event of non-payment, the client agrees to pay all collection costs, including attorney fees, collection agency fees, and court costs.

8. BINDING ARBITRATION AND WAIVER OF JURY TRIAL

Any dispute, controversy, or claim arising out of this agreement shall be settled by binding arbitration in Marion County, Indiana.

Waiver: The client expressly waives their right to a jury trial and their right to participate in any class action lawsuit against Lume Clean Solutions.

9. GOVERNING LAW

This agreement is strictly governed by the laws of the State of Indiana. If any clause is declared invalid by a court, the remaining clauses shall remain in full force and effect.
